These Terms of Service ("Terms") govern your engagement with SYNTIXIS LABS PRIVATE LIMITED, operating under the brand name Motion Labs ("Motion Labs", "we", "us", "our"), a marketing agency incorporated in India. By engaging our services, signing a service agreement, or otherwise interacting with us, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

1. Acceptance of Terms

By accessing our website, engaging Motion Labs for marketing services, or executing a Service Agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy & Data Use Policy. If you do not agree to these Terms, please do not engage with our services.

These Terms apply to all clients, prospective clients, and any individual or entity that interacts with Motion Labs in a professional capacity.

2. Description of Services

Motion Labs is a full-service marketing agency providing, but not limited to, the following services:

  • Digital marketing strategy and consulting

  • Social media management and paid advertising (Meta, Google, LinkedIn, and other platforms)

  • Content creation, copywriting, and creative production

  • Search engine optimisation (SEO) and search engine marketing (SEM)

  • Campaign analytics, reporting, and performance optimisation

  • Brand identity and design support

  • AI-assisted marketing tools and automation (used occasionally to support service delivery)

The specific scope of services, deliverables, timelines, and fees for each client engagement will be set out in a separate Service Agreement or Statement of Work ("SOW") signed by both parties. In the event of any conflict between these Terms and a signed SOW, the SOW shall prevail.

3. Client Responsibilities

To enable Motion Labs to deliver services effectively, you agree to:

  • Provide accurate, complete, and up-to-date information, materials, and access required for campaign execution (e.g., brand guidelines, ad account access, product details);

  • Review and approve deliverables within the timelines specified in the SOW;

  • Ensure that any materials, content, or data you provide to Motion Labs does not infringe any third-party intellectual property rights, violate applicable laws, or breach any confidentiality obligations;

  • Designate a primary point of contact for the engagement and ensure prompt communication;

  • Make payments in accordance with the agreed payment terms.


Delays caused by failure to meet these responsibilities may affect delivery timelines, and Motion Labs shall not be held liable for such delays.

4. Acceptable Use

You agree not to engage Motion Labs for services that involve or promote:

  • Any unlawful, fraudulent, or deceptive activity;

  • Content that infringes on the intellectual property rights of third parties;

  • Misleading advertising, false claims, or content prohibited under the Advertising Standards Council of India (ASCI) guidelines or any applicable laws;

  • Hate speech, discrimination, harassment, or harmful content targeting individuals or groups;

  • Products or services that are illegal in India or in the target markets of your campaigns;

  • Any activity that could damage the reputation of Motion Labs or its partners.

Motion Labs reserves the right to decline or terminate any engagement where the nature of the work conflicts with these standards, our values, or applicable law, with reasonable notice to the client.

5. Intellectual Property

5.1 Client-Owned Materials

All materials, data, brand assets, and content provided by you to Motion Labs remain your sole property. You grant Motion Labs a limited, non-exclusive licence to use such materials solely for the purpose of delivering the agreed services.

5.2 Deliverables

Upon receipt of full payment for a project, Motion Labs assigns ownership of final deliverables (such as ad creatives, copy, and campaign assets) to the client, unless otherwise specified in the SOW. Ownership does not transfer until full payment is received.

5.3 Motion Labs IP

All methodologies, frameworks, templates, tools, and processes developed by Motion Labs in the course of service delivery remain the intellectual property of Motion Labs. We retain the right to use anonymised learnings and non-confidential insights from engagements to improve our services.

5.4 Portfolio Use

Unless you expressly opt out in writing, Motion Labs reserves the right to reference your company name and describe the nature of work performed (without disclosing confidential information) for portfolio, case study, and marketing purposes.

6. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information shared in the course of the engagement, including but not limited to business strategies, campaign data, customer information, financial details, and proprietary processes.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law or court order, provided the disclosing party is given reasonable prior notice.

These confidentiality obligations survive the termination of the engagement for a period of two (2) years.

7. Payment Terms

Payment terms for each engagement will be specified in the applicable SOW or invoice. Unless otherwise agreed:

  • Invoices are due within 15 days of the invoice date;

  • A retainer or advance payment may be required prior to commencement of work;

  • Late payments may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower;

  • Motion Labs reserves the right to pause or suspend services in the event of overdue payments, with prior written notice.

All fees are exclusive of applicable taxes including GST, which will be charged in addition to the quoted fees.

8. Privacy and Data Protection

Motion Labs handles all personal data and client data in accordance with our Privacy & Data Use Policy, which is incorporated into these Terms by reference. By engaging our services, you consent to the data practices described in that Policy.

Where Motion Labs processes personal data on your behalf (e.g., audience lists for targeted advertising), you warrant that you have obtained all necessary consents and have the legal right to share such data with us for the stated purpose.

9. Third-Party Platforms

Campaign execution may involve the use of third-party advertising and marketing platforms (e.g., Meta Ads, Google Ads, LinkedIn Campaign Manager). Your use of these platforms is subject to their respective terms of service and policies. Motion Labs is not responsible for changes to platform policies, ad account suspensions, or any restrictions imposed by third-party platforms outside our control.

Any ad spend budgets allocated to third-party platforms are separate from Motion Labs' service fees and are managed on your behalf in accordance with agreed budgets.

10. Service Availability and Performance

Motion Labs will use reasonable efforts to deliver services within the timelines and quality standards agreed in the SOW. However, we do not guarantee specific outcomes such as a particular number of leads, conversions, or revenue, as marketing results depend on a range of factors beyond our sole control.

In the event of delays due to circumstances beyond our reasonable control (force majeure), including but not limited to platform outages, regulatory changes, or acts of nature, Motion Labs will notify you promptly and work to minimise impact on delivery.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Motion Labs' total liability to you for any claim arising out of or in connection with these Terms or any engagement shall not exceed the total fees paid by you to Motion Labs in the three (3) months preceding the claim;

  • Motion Labs shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or reputational damage, even if advised of the possibility of such damages;

  • Motion Labs is not liable for the performance or conduct of third-party platforms or vendors.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Indian law.

12. Termination

Either party may terminate an engagement by providing written notice as specified in the applicable SOW (typically 30 days). Upon termination:

Motion Labs' total liability to you for any claim arising out of or in connection with these Terms or any engagement shall not exceed the total fees paid by you to Motion Labs in the three (3) months preceding the claim;

  • You remain liable for payment of all fees for work completed up to the termination date;

  • Motion Labs will return or securely delete your confidential data and materials upon request;

  • Clauses relating to intellectual property, confidentiality, payment, and limitation of liability survive termination.

Motion Labs may terminate an engagement immediately and without notice in the event of: (a) material breach of these Terms by you; (b) non-payment; or (c) a request to undertake work that violates applicable laws or our Acceptable Use policy.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India. The language of arbitration shall be English.

14. Changes to Terms

Motion Labs reserves the right to update these Terms at any time. We will notify existing clients of material changes via email with at least 14 days' notice before the changes take effect. Continued engagement with our services following the effective date of any update constitutes acceptance of the revised Terms.

The most current version of these Terms will always be available on our website or upon request.
